NeoMatX ("the Service") is a software platform that provides AI-powered customer communication tools.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the NeoMatX platform, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Business Use Only

The Service is intended exclusively for business and professional users.

By using the Service, you represent and warrant that:

  • you are acting in a professional or commercial capacity
  • you are not using the Service as a consumer
  • you have the authority to bind your organization to these Terms
  • if you are using the Service on behalf of an organization, these Terms apply to that organization

3. Account Responsibility

You are responsible for:

  • maintaining the confidentiality of your account credentials
  • all activities occurring under your account
  • ensuring that your account is used in compliance with these Terms

NeoMatX is not liable for any damages resulting from unauthorized access to your account.

4. Acceptable Use

You agree not to use the Service to:

  • violate any law or regulation
  • transmit unlawful, harmful, defamatory, or abusive content
  • distribute spam or unsolicited communications
  • infringe intellectual property rights
  • upload malware or malicious code
  • attempt to gain unauthorized access to systems
  • interfere with the operation of the Service
  • perform automated scraping or large-scale data extraction
  • reverse engineer, decompile, or attempt to discover the source code

NeoMatX may suspend or terminate accounts that violate these rules.

5. Customer Content and Responsibility

Users may submit, upload, or store content within the platform ("Customer Content"). You retain ownership of your content. However, you are solely responsible for:

  • the legality of your content
  • ensuring appropriate permissions
  • compliance with applicable laws
  • compliance with data protection regulations

NeoMatX does not actively monitor all user content and assumes no responsibility for such content.

6. AI-Generated Content

Certain features may generate content using artificial intelligence. AI-generated outputs:

  • may contain inaccuracies
  • may be incomplete
  • may produce unexpected or incorrect results

All AI-generated content is provided for informational and assistance purposes only. NeoMatX does not guarantee the accuracy, reliability, or suitability of AI-generated outputs. Users are solely responsible for reviewing and validating any AI-generated content before use.

7. Beta and Experimental Features

From time to time, NeoMatX may provide access to beta, preview, or experimental features. Such features:

  • may be incomplete
  • may contain errors
  • may change or be discontinued at any time

Beta features are provided without any warranty and may not be supported.

8. Service Availability

The Service is provided on an "as is" and "as available" basis. NeoMatX makes no guarantees regarding:

  • uninterrupted service
  • availability at all times
  • absence of errors
  • compatibility with all systems

Maintenance, upgrades, outages, or technical issues may result in temporary service interruptions.

9. Data Loss Disclaimer

While reasonable measures are taken to protect data, NeoMatX does not guarantee that data stored within the Service will never be lost or corrupted. Users are responsible for maintaining their own backups of important data.

10. Intellectual Property

All intellectual property rights in the Service, including software, design, architecture, and branding, remain the exclusive property of NeoMatX. Users are granted a limited, non-exclusive, non-transferable, revocable license to use the Service. Users may not:

  • copy
  • modify
  • distribute
  • reverse engineer
  • create derivative works

without prior written permission.

11. Fees and Payments

Certain features of the Service may require payment. Subscription fees, billing intervals, and payment conditions are presented at the time of purchase. Unless otherwise specified:

  • subscriptions renew automatically
  • fees are non-refundable
  • failure to pay may result in suspension or termination of the account

Price changes will not affect existing billing periods but may apply to subsequent renewals.

12. Limitation of Liability

Nothing in these Terms shall limit or exclude NeoMatX’s liability for death or personal injury, fraud, or any other liability that cannot be excluded or limited by applicable law.

To the maximum extent permitted by law, NeoMatX shall not be liable for:

  • indirect damages
  • incidental damages
  • consequential damages
  • loss of profits
  • loss of data
  • loss of business opportunities
  • service interruptions

Total liability of NeoMatX for any claim arising out of or related to the Service shall not exceed the total amount paid by the user to NeoMatX during the twelve (12) months preceding the claim.

12a. Security Incidents

While NeoMatX implements reasonable security measures, no system can guarantee absolute security. NeoMatX shall not be liable for damages resulting from security breaches, cyber attacks, unauthorized access, or other malicious activities performed by third parties beyond reasonable control.

12b. Fair Use and Usage Limits

To ensure stable operation of the Service for all users, NeoMatX may implement reasonable usage limits, rate limits, or resource restrictions.

Excessive or abusive use of system resources, including automated requests or unusually high API usage, may result in temporary limitations, suspension, or termination of access.

13. Indemnification

You agree to indemnify and hold harmless NeoMatX, its owners, partners, and affiliates from any claims, damages, liabilities, losses, or legal costs arising from:

  • your use of the Service
  • your violation of these Terms
  • your Customer Content
  • your violation of applicable laws
  • your violation of third-party rights

14. Suspension and Termination

NeoMatX reserves the right to suspend or terminate accounts at its sole discretion if:

  • these Terms are violated
  • misuse or abuse of the Service is detected
  • security risks arise
  • payment obligations are not fulfilled

Users may terminate their account at any time. Termination may result in loss of access to stored data.

After account termination, NeoMatX may delete stored data after a reasonable retention period unless legal obligations require longer storage.

15. Modifications to the Service

NeoMatX may modify, update, replace, or discontinue parts of the Service at any time without liability. This includes:

  • adding or removing features
  • modifying pricing
  • discontinuing modules

16. Data Protection

Personal data is processed in accordance with our Privacy Policy. Users processing personal data through the platform are responsible for complying with applicable data protection laws, including the General Data Protection Regulation.

17. Force Majeure

NeoMatX shall not be liable for delays or failures resulting from events beyond reasonable control, including but not limited to:

  • natural disasters
  • war
  • government actions
  • internet outages
  • infrastructure failures
  • cyber attacks

18. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of Poland, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Poland.

19. Changes to the Terms

NeoMatX may modify these Terms from time to time. The updated version will be published on the website. Continued use of the Service after updates constitutes acceptance of the revised Terms.

20. Business User Verification

The NeoMatX Service is provided exclusively to businesses, entrepreneurs, freelancers, and other professional users. By registering an account or using the Service, you represent and warrant that:

  • you are acting in the course of a business, professional, or commercial activity
  • you are not acting as a consumer
  • you are legally authorized to enter into binding agreements for yourself or the organization you represent

NeoMatX reserves the right to request verification of business status at any time. Accounts suspected of being used by consumers may be suspended or terminated without notice.

21. License to Process Customer Data

To provide the Service, you grant NeoMatX a limited, non-exclusive, worldwide license to process, store, transmit, and technically manipulate your Customer Content solely for the purpose of:

  • operating the platform
  • delivering requested functionality
  • maintaining system performance and security
  • providing technical support

This license exists only for the duration necessary to provide the Service and does not transfer ownership of your content.

22. AI Liability Limitation

The Service may provide features powered by artificial intelligence. AI systems may generate outputs that are:

  • inaccurate
  • incomplete
  • misleading
  • inappropriate for specific business decisions

NeoMatX does not provide professional, legal, financial, or business advice through AI-generated outputs. To the maximum extent permitted by law:

  • NeoMatX shall not be liable for decisions made based on AI-generated content
  • users are solely responsible for reviewing, verifying, and validating all AI outputs before use
  • NeoMatX assigns to the user all its right, title, and interest in and to the AI-generated outputs

Due to the nature of machine learning, AI-generated outputs may not be unique across different users and the Service may generate the same or similar output for other users. NeoMatX does not guarantee that AI outputs will be free from third-party similarities.

23. Customer Compliance Obligations

Users are solely responsible for ensuring that their use of the Service complies with all applicable laws and regulations, including but not limited to:

  • data protection laws
  • consumer protection laws
  • anti-spam regulations
  • intellectual property laws

NeoMatX does not assume responsibility for legal compliance related to the user's business activities conducted through the platform.

24. Unlimited Right to Refuse or Terminate Service

NeoMatX reserves the right, at its sole discretion and without liability, to:

  • refuse service
  • suspend accounts
  • limit functionality
  • terminate accounts

This may occur if NeoMatX reasonably believes that:

  • the Service is being misused
  • applicable laws may be violated
  • platform security may be compromised
  • the use may expose NeoMatX to legal risk

Termination may occur without prior notice.

25. Third-Party Services

The Service may integrate or interact with third-party services such as hosting providers, AI services, messaging infrastructure, or payment processors. NeoMatX does not control such third-party services and shall not be liable for:

  • availability of third-party services
  • security incidents at third-party providers
  • data loss caused by third-party systems
  • interruptions resulting from third-party infrastructure

Use of such services may be subject to additional third-party terms.

26. No Professional Advice

Information or content provided through the Service, including AI-generated outputs, templates, suggestions, or automated responses, is provided for informational purposes only. Nothing within the Service constitutes:

  • legal advice
  • financial advice
  • tax advice
  • professional consulting

Users should consult qualified professionals before relying on such information.

27. Export and Sanctions Compliance

Users agree not to use the Service in violation of export control laws or international sanctions regulations. The Service may not be used by persons or entities located in jurisdictions subject to applicable trade restrictions.

28. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements referenced herein, constitute the entire agreement between the user and NeoMatX regarding the Service. They supersede all prior agreements, communications, and understandings.

29. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

30. Waiver

Failure by NeoMatX to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
